Interparfums is active in the perfume and cosmetics business and specializes in prestige perfumes.
Created in 1982 by Philippe Benacin and Jean Madar, Interparfums began by developing mass-market perfumes with the creation and distribution of moderately priced eaux de toilette before shifting its strategic focus in the early 1990s to selective perfumes.
In 1993, the company signed a licensing agreement to produce perfumes under the British brand name Burberry, the first step in its strategy of creating a portfolio of international perfume and cosmetics brands in the high-end, ready-to-wear, and high fashion and accessories sectors.
In 1995, the initial public offering on the Second Marché of the Paris Stock Exchange provided the company resources to finance its expansion that was followed by series of fragrance license agreements:
In July 1993, the Interparfums Company closed an exclusive licensing agreement with the Burberry Ltd Company, covering the design, manufacturing and worldwide distribution of fragrances under the Burberry brand over a 10 year period. In February 2000, the parties chose to lengthen the duration by another three years. The termination date became December 31st 2006. In October 2004, the Interparfums Company and the Burberrys Company entered into a new licensing agreement applicable as from July 1st 2004 for a 12 year and six month period. The agreement provides that an additional five year period may be opted for by the parties under the same terms. The agreement also provides that, on December 31st 2009 or on December 31st 2011, Burberry may choose to buy back from Interparfums the licensing rights at arms length price. In December 2010, Interparfums and Burberry have extended by one year certain terms of their fragrance licence, including the length of the agreement to 31 December 2017. Burberrys right to buy the licence has moved from 31 December 2011 to 31 December 2012, and the option requiring the consent of both parties to extend the licence five years beyond 2017 now becomes exercisable at 31 December 2015. In December 2011, Interparfums and Burberry announced that they are in discussions regarding the establishment of a new operating structure for the Burberry fragrance and beauty business. As there can be no assurance that an agreement will be reached, Burberry has exercised its right to evaluate the purchase price for the unexpired term of the existing license. In this process, Burberry has until July 31, 2012 to determine whether it wishes to buy out the unexpired portion of the license or continue the existing license which runs through December 31, 2017. |

In July 1997, the Interparfums Company and the S.T. Dupont Company entered into an exclusive licensing agreement covering the design, manufacturing and worldwide distribution of fragrances for a 11 year period. In April 2006, the agreement was lengthened by another 3 years. It will be applicable up until June 30th 2011. On 26 April 2011, this license agreement was renewed for 5 ½ years to 31 December 2016. |

In April 2004, Interparfums acquired a majority stake in Nickel, a company specialized in skincare products for men. In June 2007, Nickel became a wholly-owned subsidiary after Interparfums acquired the company’s remaining shares. | ||
In June 2004, the Interparfums Company and the Lanvin Company entered into an exclusive licensing agreement applicable as from July 1st 2004, covering the design, manufacturing and worldwide distribution of fragrances for a 15 year period. At the end of July 2007, Interparfums acquired the Lanvin brand names and international trademarks for class 3 fragrance products and make-up from the Jeanne Lanvin company. Interparfums and Lanvin have mutually agreed to terminate the existing licensing contract signed in June 2004 as from the date of the sale and have entered a technical and creative assistance agreement in view of developing new perfumes in return for payment based upon net sales. This agreement will stand until June 30th 2019. The Lanvin Company holds a buy back option for the brands, which will be exercisable on July 1st 2025. |
